POLICY

Terms of Services

Welcome to Classroom On Demand and COD AI Academy.

These Terms of Service (“Terms”) govern access to and use of the Classroom On Demand and COD AI Academy websites, learning platforms, courses, training programs, workshops, bootcamps, instructional materials, and related products and services (collectively, the “Services”).

In these Terms,“COD,” “Classroom On Demand,” “COD AI Academy,” “we,” “us,” and “our” refer to COD, doing business as Classroom On Demand and/or COD AI Academy, as applicable.

By purchasing a course, creating an account, enrolling in training, or otherwise accessing or using the Services, you agree to these Terms.

If you do not agree to these Terms, do not purchase or use the Services.

1. Eligibility and Authority

You must have the legal capacity to enter into a binding agreement to use the Services.

If you purchase, register for, or use the Services on behalf of a company, employer, government agency, educational institution, or other organization, you represent that you have authority to act on behalf of that organization with respect to the purchase or registration.

Certain programs may have prerequisites, technical requirements, or other eligibility requirements stated on the applicable course page.

2. COD Services

Classroom On Demand and COD AI Academy may offer educational and professional training services including:

  • On-demand and self-paced courses;
  • Virtual instructor-led training;
  • Instructor-led classroom or onsite training;
  • Workshops;
  • Bootcamps;
  • Private and corporate training;
  • Assessments and advisory workshops;
  • Learning materials and digital resources; and
  • Other educational and professional-development services.

The specific features, format, duration, availability, instructor, schedule, prerequisites, and materials associated with a program will be described in the applicable course listing, order, proposal, or agreement.

We may update course content from time to time to maintain or improve the training.

3. Accounts

Some Services require a user account.

You agree to provide accurate and reasonably current information when creating and maintaining an account.

You are responsible for:

  • Maintaining the confidentiality of your account credentials;
  • Activities occurring through your account;
  • Using a strong and secure password;
  • Preventing unauthorized access to your account; and
  • Promptly notifying COD if you reasonably believe your account has been compromised.

Accounts and course access are for the registered learner unless COD expressly permits otherwise.

You may not sell, transfer, rent, sublicense, share, or otherwise provide your account credentials or individual course access to another person.

4. Course Enrollment and Purchases

A course purchase provides the purchaser or designated learner with a limited right to access the applicable training according to the terms associated with that course.

Purchasing a course does not transfer ownership of the course, videos, curriculum, assessments, software, documentation, or other instructional materials.

Course availability and access periods may differ by product. Any material access restrictions should be disclosed on the applicable course page, order form, or agreement.

Enrollment in a particular course does not guarantee enrollment in another course, future version, live session, certification, examination, or third-party program unless expressly stated.

5. Prices and Payments

Prices are displayed at or before checkout or otherwise specified in the applicable proposal, quotation, order form, or agreement.

You agree to pay the price and applicable charges presented when you place your order.

Payments may be processed by third-party payment providers. Payment providers may impose separate terms governing payment processing.

Where taxes are applicable to a transaction, taxes may be collected according to applicable law and the payment arrangement associated with the transaction.

Discount codes, promotional offers, scholarships, credits, and special pricing may:

  • Apply only to specified products;
  • Have expiration dates;
  • Be limited to certain purchasers or transactions;
  • Be subject to redemption limits; and
  • Be withdrawn or modified where permitted by law.

Unless expressly stated otherwise, promotional discounts have no cash value and cannot be exchanged for cash.

6. Refunds and Cancellations

Purchases are subject to the COD Refund Policy in effect at the time of purchase and any additional cancellation provisions disclosed for the particular program.

Where a private, corporate, customized, or onsite training engagement is governed by a proposal, statement of work, order form, or separate agreement, the applicable agreement may contain additional or different cancellation terms.

If there is a conflict between the general website Refund Policy and a separately executed agreement governing a customized engagement, the separately executed agreement controls with respect to that engagement.

Nothing in these Terms is intended to eliminate rights that cannot lawfully be waived.

7. Live Training and Schedule Changes

Live courses depend upon instructor and program availability.

COD may, when reasonably necessary:

  • Reschedule a session;
  • Substitute an instructor;
  • Change the delivery format;
  • Change a training location; or
  • Cancel a session.

If COD cancels a program without providing a reasonable replacement, refund or transfer rights will be determined under the applicable Refund Policy, order, or agreement.

Learners are responsible for attending scheduled sessions at the published times.

8. Intellectual Property

The Services and associated materials may include intellectual property owned by COD or licensed to COD by third parties.

Except where expressly stated otherwise, course materials are provided for the enrolled learner’s personal or internal professional learning purposes.

You may not, without authorization:

  • Copy or reproduce substantial portions of course content;
  • Record live instructional sessions;
  • Republish course videos;
  • Redistribute downloadable course materials;
  • Sell, license, rent, or commercially distribute COD training materials;
  • Upload course content to public or shared repositories;
  • Share course access with unauthorized users;
  • Remove copyright, trademark, or proprietary notices;
  • Create unauthorized competing courses substantially derived from protected COD course materials; or
  • Use COD materials to unlawfully infringe intellectual-property rights.

Nothing in these Terms transfers COD’s intellectual-property ownership to you.

“Classroom On Demand,” “COD AI Academy,” associated branding, course names, graphics, and logos may be trademarks or other protected identifiers of their respective owners.

9. Acceptable Use

You agree not to misuse the Services.

Prohibited activity includes:

  • Attempting unauthorized access to another user’s account;
  • Circumventing authentication or access controls;
  • Interfering with the operation or security of the website or learning platform;
  • Introducing malware or malicious code;
  • Scraping, harvesting, or systematically extracting protected course content without authorization;
  • Sharing credentials to circumvent seat or enrollment restrictions;
  • Using the Services to violate applicable law;
  • Using the Services to infringe third-party intellectual-property rights; or
  • Engaging in fraudulent purchasing, enrollment, refund, or payment activity.

COD may restrict or suspend access where reasonably necessary to protect the Services, other users, or COD from material misuse or security threats.

10. Artificial Intelligence Training and Content

Some COD AI Academy programs concern artificial intelligence, Microsoft Copilot, generative AI, automation, governance, prompting, or related technology.

Training concerning AI tools is provided for educational purposes.

AI technologies evolve rapidly, and features, interfaces, model behavior, service availability, product names, licensing requirements, and third-party policies may change.

Accordingly, examples demonstrated during a course may not always function identically after the course has been produced or delivered.

AI-generated output

Learners remain responsible for reviewing and validating outputs produced by AI systems before relying on those outputs for business, financial, legal, compliance, employment, technical, or other material decisions.

COD does not guarantee that output produced by a third-party AI service will be accurate, complete, unique, error-free, or suitable for a particular purpose.

Sensitive information

Learners should not enter confidential, regulated, proprietary, personal, or otherwise sensitive information into an AI service unless the learner or the learner’s organization has determined that doing so is authorized and appropriate for that service.

11. Third-Party Products and Services

COD training may discuss or demonstrate third-party products, platforms, software, certifications, or services.

Third-party services are governed by their respective providers’ terms, licensing requirements, privacy policies, and product conditions.

Unless expressly stated otherwise, purchasing a COD course does not include:

  • A third-party software license;
  • A third-party subscription;
  • A certification examination fee;
  • Cloud-service usage fees; or
  • Access to a third-party commercial service.

References to third-party products are not a representation that those products will remain available or unchanged.

12. Microsoft and Other Third-Party Trademarks

Courses may provide training concerning products and technologies from companies such as Microsoft and other technology providers.

Third-party company names, product names, trademarks, and logos belong to their respective owners.

Unless expressly disclosed for a particular program, references to third-party products should not be interpreted as sponsorship, endorsement, certification, or ownership of COD by the applicable third party.

13. Certificates of Completion

COD may provide certificates of completion or similar acknowledgments for eligible courses.

Unless specifically stated otherwise, a COD certificate of completion indicates completion of the applicable COD training requirements. It does not constitute a professional license, academic degree, governmental accreditation, or third-party certification.

Where a course prepares learners for an independent certification examination, completion of the COD course does not guarantee that the learner will pass that examination.

14. No Guarantee of Results

COD provides education and training.

Individual results depend on numerous factors, including a learner’s participation, prior knowledge, practice, technical environment, employer policies, software licensing, and implementation decisions.

COD does not guarantee:

  • Employment or promotion;
  • Increased compensation;
  • Certification-exam results;
  • Business revenue;
  • Cost savings;
  • Regulatory compliance;
  • Particular productivity improvements; or
  • Any specific business or professional outcome,

unless a separate written agreement expressly provides otherwise.

15. Corporate and Private Training

An organization purchasing training for multiple participants is responsible for ensuring that its designated users comply with applicable enrollment and access requirements.

Private or corporate services may be governed by an additional:

  • Proposal;
  • Statement of work;
  • Order form;
  • Master services agreement; or
  • Other written agreement.

If a properly executed written agreement directly conflicts with these Terms, the executed agreement controls for the conflicting provision and the services it covers.

16. Privacy

Use of the Services is also subject to the COD Privacy Policy.

The Privacy Policy describes how personal information associated with website use, accounts, purchases, learning activities, and related interactions is handled.

By using third-party services linked to or integrated with COD, you may also be subject to those providers’ privacy policies.

17. Communications

COD may send transactional or service-related communications concerning:

  • Account activity;
  • Purchases;
  • Course enrollment;
  • Training schedules;
  • Access information;
  • Security;
  • Customer support; and
  • Material changes affecting a purchased service.

Where permitted, COD may also send marketing communications.

Marketing preferences do not prevent COD from sending communications reasonably needed to administer an existing account, transaction, or training engagement.

18. Subscriptions and Recurring Payments

If COD offers a subscription, membership, automatic renewal, or other recurring-payment service, the applicable purchasing page will identify the material recurring-payment terms before purchase.

Where applicable, those terms should include the recurring charge, billing frequency, method for cancellation, and material conditions of renewal.

As of October 31, 2026, the federal regulatory picture surrounding negative-option programs is evolving. The Federal Trade Commission is again considering amendments to its Negative Option Rule; the currently published eCFR rule concerns prenotification negative-option plans.

For that reason, COD should separately review any future subscription checkout flow before activating recurring billing rather than relying only on this Terms provision.

19. Availability of the Services

COD strives to provide reliable access but does not guarantee that online Services will operate continuously or without interruption.

Availability may occasionally be affected by maintenance, updates, security events, internet-service disruptions, third-party platforms, or circumstances outside COD’s reasonable control.

COD may modify or discontinue features when reasonably necessary.

For a purchased course, COD will address material loss of paid access consistent with the purchase terms, Refund Policy, and applicable law.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND COURSE MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

COD does not make warranties that are not expressly stated in these Terms or a separately executed written agreement.

Nothing in this section excludes warranties or consumer protections that cannot legally be excluded.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COD’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PURCHASE OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO COD FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by applicable law.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold COD harmless from third-party claims, liabilities, damages, or expenses arising from your unlawful use of the Services, infringement of third-party rights, or material violation of these Terms.

This provision does not require a consumer to indemnify COD for COD’s own misconduct where such an obligation is prohibited by applicable law.

23. Suspension and Termination

COD may suspend or terminate access where reasonably necessary because of:

  • Material violation of these Terms;
  • Fraudulent activity;
  • Unauthorized account sharing;
  • Security threats;
  • Intellectual-property infringement;
  • Nonpayment; or
  • Unlawful use of the Services.

Where reasonable under the circumstances, COD may provide an opportunity to resolve a violation before permanent termination.

Termination does not grant a refund where the applicable Refund Policy otherwise makes the purchase non-refundable, except as required by law.

24. Governing Law

These Terms are governed by the laws of the State of TX, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any mandatory consumer rights applicable in a customer’s jurisdiction remain unaffected.

25. Changes to These Terms

COD may update these Terms to reflect changes to the Services, technologies, business practices, or applicable requirements.

Material changes will apply prospectively to the extent required by applicable law or existing contractual commitments.

26. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible, and the remaining provisions will remain in effect.

27. Entire Agreement

These Terms, together with applicable:

  • Course or product terms;
  • Refund Policy;
  • Privacy Policy;
  • Order forms; and
  • Executed agreements,

constitute the applicable agreement concerning use of the Services.

A separately executed agreement may supersede these Terms to the extent the agreement expressly addresses and conflicts with a provision here.
